These Terms & Conditions (“Terms”) govern your use of the KeyForge online shop (the “Site”) operated by KeyForge Tech SRL (“KeyForge”, “we”, “us”, or “our”). By accessing or using our Site, placing an order, or otherwise engaging with our Services, you (“Customer”, “you”) agree to be bound by these Terms, as well as our Privacy Policy and Cookies Policy.

1. General

1.1 ACCEPTANCE OF TERMS

By accessing and using the Site or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference. These Terms constitute a legally binding agreement between you and KeyForge Tech SRL.

1.2 MODIFICATIONS

We reserve the right to modify or update these Terms at any time to reflect changes in legal requirements, our business practices, or for operational reasons. Any such modifications will be posted on the Site with a revised “Effective Date.” Your continued use of the Site following such changes constitutes your acceptance of the new Terms.

1.3 APPLICABILITY

These Terms apply to all visitors, users, and purchasers of goods and services on the Site. In addition to these Terms, your purchase is also governed by the specific terms provided at the point of sale and any order confirmation communications.

2. Orders and Preorders

2.1 PRODUCT IMAGES AND DESCRIPTIONS

While we strive to accurately display the colors, textures, and details of our products on our website, please note that slight variations may occur due to differences in display settings, lighting conditions, and digital photography. These minimal differences in color or texture do not constitute a misrepresentation of the product and are considered normal. By purchasing our products, you acknowledge and accept these potential variations.

2.2 ORDER PROCESS AND ACCEPTANCE

All orders placed via the Site are subject to our acceptance and product availability.
An order is only binding once you receive an order confirmation email from us.
We reserve the right to refuse or cancel any order, in whole or in part, if there is any issue with pricing, product availability, or if we suspect fraudulent activity.

2.3 PREORDER TERMS

Availability and Confirmation: For products available for preorder, the product page will clearly indicate that the item is a preorder, along with the expected shipping date. Your preorder is subject to final confirmation once the product is available for shipment.
Cancellation Rights: If the product is not released within the timeframe stated on the product page, you have the right to cancel the preorder and receive a refund.
Price Guarantee: The price agreed at the time of preorder will remain binding, even if the price of the item changes before the product is released.
Non-Delivery: Should we be unable to deliver a preorder (due, for instance, to supplier issues or regulatory delays), you will be notified promptly and offered a full refund or the option to select an alternative product.
Risk of Delay: While we strive to meet the stated preorder delivery dates, any delay beyond our reasonable control (including Force Majeure events) will not constitute a breach, but you will be informed as soon as possible.

3. Prices, Taxes, and Payment

3.1 PRICE DISPLAY AND TAXES

All prices displayed on the Site include the applicable Value Added Tax (VAT) and any other legally required taxes, unless explicitly stated otherwise. Any additional charges, such as shipping fees, will be calculated and clearly displayed at checkout.

All prices are displayed on the Site in Euro or Lei.

3.2 PAYMENT METHODS

We accept credit/debit cards and payment on delivery (including an extra fee).
All payments are processed securely through our third-party payment provider, Stripe.
An order is confirmed only when payment is successfully processed.

3.3 PAYMENT SECURITY

We employ industry-standard security measures to protect your payment information. Your payment details are handled exclusively by our secure payment provider, and we do not store your full payment information on our servers.

4. Shipping and Delivery

4.1 SHIPPING CALCULATIONS

Shipping costs are calculated during checkout based on your delivery address, the weight/volume of the items, and the chosen shipping method.
All shipping fees will be clearly disclosed before you finalize your order.

4.2 DELIVERY ESTIMATES

We plan to deliver as soon as it is possible. We are not liable for delays caused by third-party carriers or events beyond our control (including but not limited to Force Majeure events).

4.3 RISK OF LOSS

Ownership of goods passes to you upon successful delivery; however, the risk of loss remains with us until delivery is confirmed by the carrier and receipt is obtained by you.

5. Returns, Refunds, and Warranty

5.1 RETURNS AND REFUNDS

Right of Withdrawal: In accordance with EU consumer protection law, you have the right to cancel your order within 14 calendar days of receiving the product, without providing any reason.
Return Conditions: Returned items must be in their original condition and packaging, unused, and accompanied by proof of purchase.
Refund Process: Once the returned item has been inspected, refunds will be processed within 14 days using the same payment method used for the original transaction.
Exclusions: Certain items (e.g., personalized products or items marked as final sale) may be exempt from the right of withdrawal. Such exceptions will be clearly indicated on the product page.

5.2 WARRANTY

Statutory Warranty: All products are covered by a statutory warranty period of two years from the date of purchase, as required by Romanian and EU law. This warranty covers any manufacturing defects or non-conformity with the advertised product specifications.
Scope of Warranty: The warranty includes repair, replacement, or refund (at our discretion) if a product is found to be defective or not in conformity with its description.
Claim Process: To make a warranty claim, you must notify us at info@keyforge.tech within the warranty period, providing detailed information about the defect, order details, and any supporting documentation (e.g., photographs, invoices).
Exclusions: The warranty does not cover damage resulting from: Misuse, abuse, or accident, Unauthorized modifications or repairs, Normal wear and tear, Improper handling or installation by the customer.
Service and Support: We will provide technical support and instructions for returning defective products. In cases where the product is repaired or replaced, the warranty will continue for the remainder of the original warranty period or a newly defined period if applicable.
Limitation: Our liability under the warranty is limited to the purchase price of the defective product and does not extend to any consequential or incidental damages.

6. Intellectual Property

6.1 OWNERSHIP OF CONTENT

All content on the Site—including text, graphics, logos, images, and product descriptions—is the property of KeyForge Tech SRL or its licensors and is protected by copyright and other intellectual property laws.
You are granted a limited, non-transferable, and revocable license to access and view the content solely for personal, non-commercial purposes.

6.2 RESTRICTIONS OF USE

You may not reproduce, distribute, modify, or create derivative works based on any content from the Site without our prior written consent.

7. Limitation of Liability

7.1 EXCLUSION OF CONSEQUENTIAL DAMAGES

To the fullest extent permitted by applicable law, KeyForge Tech SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or inability to use the Site.

7.2 MAXIMUM LIABILITY

Our total liability for any claim arising out of or related to these Terms or your purchase shall not exceed the total amount paid by you for the goods or services that are the subject of the claim.

7.3 FORCE MAJEURE

We shall not be liable for any delay or failure to perform our obligations if such delay or failure is caused by events beyond our reasonable control, including war, terrorism, labor disputes, or other force majeure events.

8. Governing Law and Dispute Resolution

8.1 GOVERNING LAW

These Terms shall be governed by and construed in accordance with Romanian law and applicable EU directives, including consumer protection regulations.

8.2 DISPUTE RESOLUTION

Any dispute arising out of or related to these Terms or your use of the Site shall first be resolved through amicable negotiations.

If no resolution is reached, disputes shall be submitted to the competent courts in Romania.

9. Consumer Information and Transparency

9.1 INFORMATION REQUIREMENTS

In compliance with the EU Consumer Rights Directive and Romanian consumer protection laws, we ensure that all pricing, product, and service information provided on our Site is clear, accurate, and transparent.

9.2 VAT AND TAXES

All prices include the applicable VAT. Any additional costs (e.g., shipping fees) are calculated at checkout and are clearly displayed before final confirmation.

9.3 PREORDER AND CANCELLATION TERMS

For products available for preorder, specific conditions will be stated on the product page.
Customers may cancel preorders if the product is not released within the promised timeframe, in accordance with our preorder policy.

End User License Agreement (EULA)
KeyForge Master

This end user license agreement (“agreement”) is a legal agreement between you (“user” or “you”) and KeyForge regarding your installation and use of the KeyForge Master app configurator software (the “software”). By installing, copying, or otherwise using the software, you agree to be bound by the terms of this agreement. If you do not agree to these terms, do not install or use the software.

1. Grant of License

1.1 LICENSE GARANT
KeyForge hereby grants you a non-exclusive, non-transferable, revocable license to install and use the software solely on your personal computer and/or KeyForge device for your own internal purposes, in accordance with this agreement.

1.2 SCOPE OF USE
This license permits you to use the software to configure and manage your KeyForge device settings and macropad shortcuts as provided through the app. All configuration data generated by the software is stored locally on your device and is not transmitted to or stored on KeyForge servers.

2. Restrictions

2.1 PROHIBITED ACTS
You agree that you will not:

Modify, adapt, translate, reverse engineer, decompile, or disassemble the software;
Create derivative works based on the software;
Distribute, rent, lease, sublicense, or otherwise transfer the software to any third party;
Remove or alter any copyright or proprietary notices contained in the software;
Use the software for any purpose that is unlawful or not permitted by this agreement.

2.2 NO DATA COLLECTION
The software is designed solely to operate locally on your pc and/or KeyForge device. KeyForge does not collect, store, or transmit any user data or configuration settings. All data remains solely under your control.

3. Intellectual Property Rights

3.1 OWNERSHIP
All title, ownership rights, and intellectual property rights in and to the software, including all modifications, updates, enhancements, and any copies made for backup purposes, are owned by KeyForge or its licensors. This agreement does not grant you any rights in the software other than the limited license expressly granted herein.

3.2 RESERVED RIGHTS
All rights not expressly granted to you in this agreement are reserved by KeyForge.

4. Updates and Maintenance

4.1 UPDATES
KeyForge may, at its sole discretion, provide updates or enhancements to the software. Such updates may be automatically installed or made available for download. This agreement governs any updates provided to you unless otherwise specified in a separate agreement.

4.2 MAINTENANCE
Unless expressly agreed in writing, KeyForge is not obligated to provide technical support or maintenance for the software. Any support provided shall be at our sole discretion and may be subject to additional terms.

5. Disclaimer of Warranties

The software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

6. Limitation of Liability

6.1 EXCLUSION OF DAMAGES
To the maximum extent permitted by law, KeyForge and its officers, directors, employees, or licensors shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the software, even if advised of the possibility of such damages.

6.2 MAXIMUM LIABILITY
In no event shall the aggregate liability of KeyForge arising out of or related to this agreement exceed the amount you paid for the software, if any.

7. Term and Termination

7.1 TERM
This agreement is effective upon your installation or first use of the software and will remain in effect until terminated.

7.2 TERMINATION
KeyForge may terminate this agreement immediately if you breach any of its terms. Upon termination, you must immediately cease all use of the software and destroy all copies in your possession.

7.3 SURVIVAL
The provisions regarding intellectual property rights, disclaimers, limitation of liability, and any other provisions which by their nature should survive termination shall remain in effect after termination of this agreement.

8. Governing Law and Dispute Resolution

8.1 GOVERNING LAW
This agreement shall be governed by and construed in accordance with Romanian law and applicable EU regulations.

8.2 DISPUTE RESOLUTION
Any disputes arising out of or related to this agreement shall first be subject to good-faith negotiations. If the dispute cannot be resolved amicably, it shall be submitted to the competent courts in Romania.

9. Miscellaneous

9.1 NO DATA COLLECTION
As noted, the software is designed solely to operate locally. KeyForge does not collect, store, or access any data from your PC or KeyForge device.

9.2 ENTIRE AGREEMENT
This agreement constitutes the entire understanding between you and KeyForge regarding the software and supersedes all prior or contemporaneous agreements, communications, or proposals, whether oral or written.

9.3 SEVERABILITY
If any provision of this agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
